This Club Scottsdale Membership Agreement (the "Agreement") is entered into between the Thescottsdalecarclub LLC (the "Club"), an auto club located at 14982 N 83rd Pl, Scottsdale, Arizona, 85260 and the individual identified below (the "Member"). The effective date of this Agreement is the date of signing by both parties.

Basic Member Information. The Member shall provide accurate personal information to the Club upon signing this Agreement, including full name, address, phone number, email address, and emergency contact details. The Member agrees to notify the Club of any changes to this information within 30 days.

Member Privileges. The Member is granted a Base Membership with specific privileges at the Club Scottsdale, an auto club located at 14982 N 83rd Pl, Scottsdale, Arizona, 85260. These privileges include access to the Club’s facilities and events in Scottsdale, Arizona, as well as access to the Club’s Codes of Conduct and Rules, which are provided upon membership activation and may be updated at the Club’s discretion. Additionally, the Member has the right to purchase optional add-on services, such as cigar room access, spa services, and exotic car rentals, at an additional cost, subject to availability and separate payment. The Member is permitted to bring guests to the Club’s facilities and events, subject to the conditions outlined in Section 9, ensuring that the Member accompanies guests at all times and remains responsible for their compliance with Club rules.

Membership Fees. The Base Membership Fee varies depending on the Membership Tier selected by the Member, with options including Basic, Executive, and Presidential tiers, each carrying distinct privileges and pricing as outlined in the table below. An initiation fee of $3,000 is required for all tiers upon joining, though this fee is waived if the Member elects a one-year contract term, which also reduces the monthly fee as specified in the table. The Member may choose between a one-year contract term or a month-to-month term without a contract, and this election determines the applicable monthly fee and initiation fee status. Monthly fees are payable on the first of each month following the signing of this Agreement, and if a one-year contract term is selected, the first year’s fees may be paid in full upfront or monthly at the Member’s discretion, with subsequent years due annually on the anniversary of the effective date. Fees for optional add-on services beyond those specified in the selected tier, such as additional cigar room access, spa services, or exotic car rentals, are charged à la carte at the time of use and are not included in the base membership fee. All fees are non-refundable unless otherwise stated, and late payments may incur a $25 penalty or suspension of membership privileges until paid in full. The Member shall indicate their selected tier and term by checking the appropriate box in the table below, explicitly confirming whether they opt for a one-year contract term or a month-to-month term without a contract.

Membership Duration. The membership term depends on the Member’s election of either a one-year contract term or a month-to-month term without a contract, as indicated in the Membership Fees section. If the Member selects a one-year contract term by checking the corresponding box in the table in Section 3, the membership term lasts one year from the effective date and automatically renews for successive one-year terms unless terminated by either party with 30 days’ written notice prior to the renewal date, with renewal contingent upon payment of the annual fee and continued compliance with this Agreement. If the Member selects a month-to-month term without a contract by checking the corresponding box in the table in Section 3, the membership begins on the effective date and continues on a month-to-month basis until terminated by either party with 30 days’ written notice, with no automatic renewal and continued membership subject to payment of the monthly fee and compliance with this Agreement. The Club reserves the right to adjust fees for subsequent terms with 60 days’ notice to the Member, regardless of the selected term.

Member Responsibilities. The Member agrees to pay all fees promptly as outlined in Section 3, comply with the Club’s Codes of Conduct and Rules as described in Section 6, use Club facilities and services at their own risk, and notify the Club promptly of any incidents or concerns related to membership.

Rules and Conduct Guidelines. The Member shall adhere to the Club’s Codes of Conduct and Rules, which require respecting fellow members, staff, and Club property, refraining from illegal, disruptive, or unsafe behavior, and following specific protocols for add-on services, such as terms for exotic car rentals. The Club may update these rules at its discretion and will communicate changes to the Member via email or by posting them at the Club. Failure to comply with these guidelines may result in termination as outlined in Section 7.

Termination Procedures. The Club may terminate this Agreement and revoke membership at any time, for any reason, at the sole discretion of the Club’s owners or management, and upon such termination, the Member forfeits any remaining fees and immediately loses access to all Club benefits. Alternatively, the Member may terminate this Agreement by providing 30 days’ written notice, though no refunds will be issued for the current membership term. All termination notices must be sent to membership@scottsdaleclub.com or 14982 N 83rd Pl, Scottsdale, Arizona, 85260.

Guest Policy. The Member is permitted to bring guests to the Club Scottsdale’s facilities and events, provided that each guest is accompanied by the Member at all times while on Club premises. The Member is fully responsible for the conduct and actions of their guests, ensuring that guests comply with the Club’s Codes of Conduct and Rules. The Club reserves the right to limit the number of guests per Member to two at any given time, though this limit may be adjusted at the Club’s discretion with prior notice. Guests may access the Club’s base facilities and events included in the Member’s Base Membership, but they are not permitted to utilize add-on services, such as the cigar room, spa, or exotic car rentals, unless the Member purchases these services on their behalf at the applicable à la carte rates. The Member must register each guest with the Club upon arrival, providing the guest’s full name and date of visit, and the Club may refuse entry to any guest for any reason at its sole discretion. Excessive use of guest privileges, as determined by the Club, may result in additional fees or suspension of this privilege, and repeated violations by a guest may lead to the Member’s liability for penalties or termination of membership as outlined in Section 7.

Liability Limitations. The Member acknowledges that use of the Club Scottsdale’s facilities, events, and services, including but not limited to exotic car rentals and spa access, involves inherent risks, and the Member assumes all such risks associated with participation. The Club shall not be liable for any injuries, damages, losses, or claims arising from the Member’s use of Club property or participation in Club activities, except in cases of gross negligence or willful misconduct by the Club. The Member agrees to indemnify, defend, and hold harmless the Club, its owners, officers, employees, and agents from any and all claims, liabilities, damages, or expenses, including legal fees, arising from the Member’s actions, the actions of their guests, or their use of Club facilities and services, whether caused by negligence or otherwise.

Force Majeure and Act of God. The Club is not liable for any failure to perform its obligations under this Agreement due to events beyond its reasonable control, such as natural disasters including earthquakes and floods, acts of God like pandemics, government actions, war, terrorism, strikes, or infrastructure failures. In such circumstances, the Club’s obligations will be suspended for the duration of the event, and the Club may, at its discretion, offer alternative arrangements, such as extended membership terms.

Dispute Resolution and Arbitration. Any disputes arising from or related to this Agreement shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will take place in Scottsdale, Arizona, with a single arbitrator chosen by mutual agreement or appointed by the AAA if no agreement is reached. Each party will bear its own legal fees and costs unless the arbitrator decides otherwise, and the arbitrator’s decision shall be final and binding, with no punitive damages awarded unless required by law. This clause does not prevent either party from seeking injunctive relief in court if necessary to prevent irreparable harm.

Governing Law. This Agreement is governed by and construed in accordance with the laws of the State of Arizona.

Non-Compete Clause. The Member acknowledges that during their membership, they may gain access to the Club's proprietary systems, processes, and values, which are unique and integral to the Club's operations. To protect these interests, the Member agrees that for a period of two (2) years following the termination of this Membership Agreement, they will not, directly or indirectly:

Own, manage, operate, join, control, be employed by, or participate in the ownership, management, operation, or control of, or be connected in any manner with, any business, club, or organization that is substantially similar to the Club Scottsdale and that operates within the greater Phoenix metropolitan area, defined as Maricopa and Pinal counties.

Use any proprietary information, systems, or processes obtained from the Club to establish or operate a competing business.

This restriction is limited to activities that directly compete with the Club's core offerings and does not prevent the Member from engaging in general automotive or social activities that do not directly compete with the Club.

Non-Recruitment Clause. The Member agrees that during the term of this Membership Agreement and for a period of one (1) year following its termination, they will not, directly or indirectly:

Solicit, induce, or encourage any other Member of the Club Scottsdale to terminate their membership or to join any other social, automotive, or country club that competes with the Club Scottsdale.

Use any information obtained from the Club, including but not limited to the member directory, for the purpose of recruiting or soliciting other members for any competing organization.

This clause is intended to protect the Club's membership community and ensure that members do not misuse the Club's resources for personal gain at the expense of the Club.

Signature Requirements. By signing below, the Member and the Club acknowledge their understanding and acceptance of this Agreement’s terms, effective as of the date signed.
